Terms of Service

Effective date: May 19, 2026

These Terms of Service ("Terms") govern your access to and use of ASAP Trial Ready and its related software, websites, and services (collectively, the "Service"), operated by ASAP Trial Technologies LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

3. Acceptable Use

You agree not to misuse the Service, including by attempting to reverse engineer, disrupt, or gain unauthorized access; uploading unlawful, infringing, or harmful content; or using the Service to violate any applicable law or third-party right.

4. Customer Content

You retain ownership of all content, documents, and data you upload or generate using the Service ("Customer Content"). You grant the Company a limited license to host, process, and display Customer Content solely as necessary to provide the Service. You are solely responsible for the legality of your Customer Content.

5. HIPAA, Protected Health Information, and Business Associate Agreements

Users may upload Protected Health Information ("PHI") only under a signed Business Associate Agreement ("BAA") with ASAP Trial Technologies LLC. Without an executed BAA in place, uploading PHI to the Service is strictly prohibited and is grounds for immediate suspension or termination with no refund. Users are responsible for de-identifying records before upload if no BAA is in place.

We implement HIPAA Security Rule safeguards, including:

  • Encryption in transit (TLS 1.2 or higher) and at rest (AES-256).
  • Least-privilege access controls and role-based authorization.
  • Comprehensive audit logging.
  • Multi-factor authentication (MFA) for administrative access.
  • BAAs with sub-processors that handle PHI on our behalf.
  • A documented breach-notification process providing notice within 60 days as required by 45 CFR §164.410.

6. Confidentiality and Legal Use

The Service may be used for sensitive legal and medical materials. You are responsible for ensuring your use complies with all applicable confidentiality, privilege, regulatory, and ethical obligations. The Service is not a substitute for legal or medical advice.

7. Subscriptions, Fees, and Refunds

Paid plans are billed in advance on a recurring basis. Refund eligibility is governed by our Refund Policy. Billing questions: billing@asaptrialready.com.

8. Intellectual Property

The Service, including all software, design, and trademarks, is owned by ASAP Trial Technologies LLC and its licensors and is protected by applicable intellectual property laws.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASAP TRIAL TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ASAP Trial Technologies LLC from any claims, damages, or expenses arising out of your use of the Service, your Customer Content, or your violation of these Terms (including unauthorized uploads of PHI).

12. Termination

We may suspend or terminate your access to the Service at any time for any breach of these Terms, including unauthorized PHI uploads. Termination for breach results in no refund.

13. Governing Law; Exclusive Jurisdiction and Venue

These Terms are governed by the laws of the State of Florida, Miami-Dade County, without regard to conflict of laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida for all disputes arising out of or relating to these Terms or the Service.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
